Terms of Service

1. Agreement to terms

These Terms of Service (“Terms”) are a binding agreement between you and Halfstack, the operator of Signed (“Signed,” “we,” “us”), the service available at signed.fyi (the “Service”). By creating an account or using the Service, you agree to these Terms. If you’re using the Service on behalf of an organization, you represent that you’re authorized to bind that organization.

2. The Service & eligibility

Signed provides software for sending, signing, and managing documents with electronic signatures. You must be at least 18 and able to form a binding contract to use the Service. We may update, improve, or modify the Service over time; we’ll avoid materially reducing core functionality during a paid term.

3. Electronic signatures & legal effect

The Service is designed to support electronic signatures consistent with the U.S. federal ESIGN Act and UETA: it captures each signer’s consent to do business electronically, their affirmative act of signing, and an audit trail of signing events. By using the Service — as a sender or as a signer — you consent to transacting electronically.

  • We are not a law firm. Nothing in the Service or on our site is legal advice. You are responsible for determining whether an electronic signature is appropriate and enforceable for your specific document and jurisdiction.
  • Excluded documents. Some documents are commonly excluded from ESIGN/UETA (for example wills, certain family-law documents, and documents requiring notarization). Don’t use the Service where an electronic signature is not legally sufficient.
  • Scope. The Service is built for U.S. ESIGN/UETA transactions. It does not provide EU “qualified” electronic signatures (eIDAS), notarization, or identity-verification services.

4. Senders & signers

A sender is an account holder who uploads a document and requests signatures. A signer is anyone invited by a sender to view or sign a document; signers do not need an account.

  • Senders are responsible for the content of the documents they send, for having the right to send them, and for using accurate recipient names and email addresses.
  • Signing links are unique and confidential. Anyone with a signing link can act on that recipient’s behalf — senders and signers are responsible for keeping links private.
  • As part of every signature request, the Service records signing events — including each participant’s email address, IP address, browser information, and timestamps — into a tamper-evident audit trail that is shared with the parties to the document. By sending or signing, you consent to this recording.
  • Signers may decline to sign. A sender’s relationship with its signers (including the underlying agreement) is between them; we are not a party to documents signed through the Service.

5. The free self-sign tool

Our self-sign tool runs entirely in your browser: the PDF you open there is processed on your device and is not uploaded to our servers. It’s provided free and “as is,” without an account, an audit trail, or a Certificate of Completion.

6. Plans, billing & trials

Signed offers a free tier (self-signing, plus a limited number of signature requests per month) and a paid subscription billed in advance, per seat, on a recurring basis through our payment processor, Stripe. Current pricing is shown on our pricing page.

  • Free trial. Trials require a payment method. Unless you cancel before the trial ends, your plan converts to paid automatically at the then-current price.
  • Renewals. Subscriptions renew automatically until cancelled. You can cancel anytime from your billing settings; access continues through the end of the paid period.
  • Taxes. Fees are exclusive of taxes, which you’re responsible for where applicable.
  • Refunds. Except where required by law, payments are non-refundable; cancelling stops future charges.

7. Acceptable use

You agree not to:

  • Break the law or infringe others’ rights using the Service;
  • Send documents to people without a legitimate basis to request their signature, or impersonate another person or organization;
  • Reverse engineer, resell, or attempt to access the Service without authorization;
  • Upload malware or disrupt the Service’s integrity or performance;
  • Use the Service to send spam or store unlawful content.

8. Your content & ownership

You retain all rights to the documents and data you submit (“Customer Data”). You grant us a limited license to host and process Customer Data solely to provide the Service — including delivering documents to the signers you designate and preserving completed documents and their audit trails for the parties. We own the Service, software, and our trademarks; these Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription.

9. Third-party services

The Service relies on subprocessors including Supabase (database, storage & authentication), Stripe (payments), Resend (email), and Vercel (hosting). Your use may also be subject to their terms. See our Privacy Policy for details.

10. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don’t warrant that the Service will be uninterrupted or error-free, or that any document signed through the Service will be enforceable in your circumstances.

11. Limitation of liability

To the maximum extent permitted by law, Signed and Halfstack will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim is limited to the amount you paid us in the 12 months before the event giving rise to the claim.

12. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate access for breach of these Terms or to comply with law. On termination, your right to use the Service ends; you may export Customer Data — including completed documents and their certificates — for 30 days, after which we may delete it.

13. Changes to these Terms

We may update these Terms. If changes are material, we’ll provide notice (e.g., by email or in-app) before they take effect. Continued use after changes means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of the Province of Ontario, Canada and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws rules. The courts located in Toronto, Ontario will have exclusive jurisdiction.

15. Independence & trademarks

DocuSign is a trademark of its respective owner. Signed is independent and not affiliated with, endorsed by, or sponsored by DocuSign. Any comparisons are for informational purposes and reflect publicly available information believed accurate as of the date stated.
